Preamble
1. Welcome to IotaProject.com Website (the “Website”) (“We” / “Us” / “Our”).
2. The headings in these Terms and Conditions (the “T&C”) are for convenience purposes only and shall not be used for interpretation purposes.
3. Please read these T&C carefully, as any use of the Website is subject to these T&C, and you will be legally bound by them.
4. If you do not agree to these T&C (or any part thereof), we ask you to immediately stop from any further use of the Website.
5. By using this T&C, you represent that you are either:
a. Over the legal age in the jurisdiction applicable to you. OR
b. Over the age of 16 but under the legal age in the jurisdiction applicable to you and in such event, any use of the Website is subject to your parent or guardian consent. By continuing using the Website, you represent that such consent has been obtained.
6. If you are below the age of 16, we ask you not to make any transaction on the Website and not to provide any personal information. If you are below the age of 13, we request you to stop using our Website.
7. Any use of the Website shall be for legal purposes only. Any illegal action or action that may damage the proper function of the Website is strictly prohibited.
8. We reserve the right to change, amend and update these T&C from time to time, at Our sole and absolute discretion.
9. The T&C that are binding to you shall be the updated T&C at the time of use of the Website. It shall be your responsibility to check and recheck the T&C and see if they have been updated, at any new entry to the Website.
Terms of Sale
10. When you make a purchase on the Website, you will be required to provide certain information including your name, phone number, email address and others. You will also be required to provide valid details of an international credit card (or such other payment alternatives, as may be available from time to time on our Website), which you are legally entitled to use.
11. Any purchase will be subject, in addition to the applicable terms of this Website, to: (a) the relevant policy of the credit card company, clearing company or other payment method company (such as PayPal, Apple Pay, or Google Pay if available on the Website); and (b) their authorization of the transaction.
12. Upon placing an order on the Website, you will receive an order number. An order number shall not mean a confirmation of the transaction, as all transactions should be approved by Us through a designated confirmation email. We may be decline, restrict, or authorize any transaction at our sole discretion, including when we find errors regarding the order or the details of the item.
13. A confirmation of the order will be sent to you via the email address you provided at the time of placing the order. In the event that such confirmation was not received, please contact Us at: info@iotaproject.com
14. Unless you choose independent pickup for your order (and only to the extent such option is available on the Website), all orders will be supplied by a third-party delivery company, at Our choice and at Our sole discretion. You can find more details about our delivery, return and shipping on our Shipping & Return Policy available here (including pricing and delivery schedules). We shall not have any responsibility over the schedule of the delivery, including delays that are due to your failure to provide the correct and complete information required, or due to your failure to coordinate the receipt of the delivery. The date and time of delivery shall be directly coordinated by you and the shipping company, and you shall make sure your availability to receive the item.
15. In the event that the order is not authorized by the relevant credit card / clearance company / other payment provider, we will notify you via a message on the screen or by sending you an email to the email address you provided. In any such event, the order will be automatically declined, and the items will not be saved.

17. Our inventory changes from time to time. In the event that a certain item is not currently available, and we cannot supply it, any transaction placed for such item shall be declined and we shall refund you against such item.
18. We reserve the right to decline any orders from any customer with whom we have an ongoing dispute regarding a prior order.
19. Shipping, delivery, customs, returns and related matters shall be governed by Our Shipping & Return Policy, which forms an integral part of these T&Cs.
Prices
20. All prices shown on the Website include the relevant tax at the applicable rate. For purchasers outside of Israel, prices are shown in USD. If you wish to purchase in Euro currency, the final price of any items you purchase will be calculated in accordance with the applicable exchange rate on the date and time when the payment provider processes your payment.
21. Delivery charges are calculated in accordance with our Shipping & Return Policy.
22. Although We try to make sure the information on our Website is accurate and clear, it might be the case that some of the information on the Website will be incomplete or have unintentional errors or omissions. We will not be responsible for any such errors.
23. We reserve the right to update the prices of the items on the Website from time to time and the delivery costs, without pre-notice. The effective price shall be the one presented at the time Your order is placed.
24. For international orders, You shall bear any customs duties, import taxes or similar charges, as further detailed in the Shipping & Return Policy.
General
25. There might be slight changes between how the items are presented on the Website and how they are in real-life (including minor changes in coloring or texture). For avoiding mistakes, please read the items’ details and specifications before placing an order. You can also contact our Customer Service on info@iotaproject.com concerning a specific item.
26. Furniture products are handcrafted or manufactured using materials that may naturally vary in color, texture, grain, softness or firmness. Such variations are inherent to the product and shall not be deemed a defect.
27. We may offer, from time to time and at our sole discretion, to some or all of our clients, different benefits (such as holiday or birthday promo codes). These benefits will be subject to the applicable terms as will be specified further to you. You should read all specifications carefully.
28. Any error caused due to force majeure or for any reason beyond Our reasonable control, will not be considered as a breach of these T&C or of our Shipping & Return Policy and will not give rise to any claim or remedy to you.
29. We reserve the right to restrict, prevent or shutdown the access to the Website for visitors that have breached any of these T&C, applicable laws and regulations or if they have made unauthorized, illegal, immoral or defamatory use of the Website or of Our brand’s name. We shall not be responsible in such cases for any damage that may be caused to You as a result of such actions.
30. We reserve the right to assign and transfer any of our rights herein, to any third party and at our sole discretion. We may notify our visitors or clients of such transfer where required to do so by law.
31. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY OR REPUTATIONAL HARM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR THE PURCHASE OF ANY PRODUCTS THEREFROM.
32. WITHOUT DEROGATING FROM THE FOREGOING, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM, DAMAGE OR LOSS ARISING OUT OF OR IN CONNECTION WITH ANY PURCHASE MADE ON THE WEBSITE SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO SUCH CLAIM.
Social Media and IP
33. All trademarks, trade names, trade masks, trade dresses, domain name, logos, copyright, slogans, passwords, designs, images, images, design patterns, fonts, videos, designs, design patents, utility patents and content that are subject to intellectual property rights on the Website or as part thereof, shall be exclusively owned by Us (or third parties authorizing Our use). You shall have no right to them and are hereby restricted from doing any use of them.
34. The designs shown on the Website are unregistered designs, protected by the Israeli Design Law.
35. You shall not: copy, duplicate, publish, make derivative works of, share, scrape, take any commercial action, of Our intellectual property and in the content appearing on the Website.
36. Any use of our Instagram page: @iota.softliving on social media (including IG, TT, YT, FB and X), shall serve as your consent for us to use that content for Our own commercial and marketing needs, at our sole discretion. By using these tags, you hereby waive any claim of IP infringement against Us, including in relation to copyright and moral rights and any publicity or privacy claim associated therewith.
Your further obligations
37. You agree that any use of the Website by You shall be in accordance with these T&C and for legal purposes only.
38. You shall indemnify, hold harmless and protect Us against any damage, expense or claim with respect to your lack of compliance with these T&C.
39. You agree that any purchase made on the Website shall be for personal use only. No wholesale is permitted.
40. With your receipt of the items, you are required to check their proper fit, size and other details at your sole responsibility. In the event of a defect or mistake, please follow our Shipping & Return Policy.
Applicable Law and Jurisdiction
41. These T&C’s shall be governed by and interpreted in accordance with the laws of the state of Israel. The Tel Aviv courts shall have sole jurisdiction over any dispute arising of or related to this agreement.
42. If any provision of these T&Cs is held to be invalid, illegal or unenforceable by a competent court, such provision shall be deemed severed, and the remaining provisions shall remain in full force and effect.
43. Any failure or delay by Us to exercise any right, power or remedy under these T&Cs shall not constitute a waiver of such right, power or remedy.
44. Nothing in these T&Cs shall derogate from any mandatory consumer rights granted to You under applicable law.
